Terms of Service
Please read these Terms of Service carefully before using Complyer. By creating an account or using the Service, you agree to be bound by these Terms.
Important notice: Complyer generates AI-powered HR document templates and provides employment law information. It does not provide legal advice. Nothing produced by Complyer constitutes legal advice, creates a solicitor-client relationship, or should be relied upon as a substitute for advice from a qualified UK employment solicitor. You remain responsible for all documents you use and all employment decisions you make.
1. Who we are
TN Labs Ltd (trading as Complyer) ("Complyer", "we", "us", "our") is a company registered in England and Wales. Our registered address and company number are available on request at hello@complyer.law.
These Terms of Service ("Terms") govern your use of the Complyer platform at https://www.complyer.law and all related applications, APIs, and services (together, the "Service").
By registering for an account or using the Service, you confirm that you have the authority to bind yourself and, where applicable, your organisation to these Terms.
2. The Service — what Complyer is and what it is not
Complyer is a software platform that uses artificial intelligence to generate HR document templates, provide employment law information, analyse documents for ERA 2025 compliance, and monitor publicly available UK employment law sources for changes.
Complyer does not provide legal advice. All outputs — including generated documents, compliance scores, chat responses, analysis results, and law monitoring alerts — are AI-generated guidance only. They are not legal advice and do not create a solicitor-client relationship between you and Complyer.
Generated documents are starting points built to the general UK employment law framework as understood at the time of generation. They may not reflect your specific circumstances, jurisdiction-specific requirements (e.g. Scottish law differences), or changes in the law after generation. You are responsible for reviewing all documents before use and for obtaining independent legal advice in high-stakes situations.
Complyer gives no warranty that any output is accurate, complete, current, or fit for your particular purpose, or that using it will prevent employment disputes, tribunal claims, or other legal proceedings.
3. Eligibility
You must be at least 18 years old to use the Service. By agreeing to these Terms you confirm you are at least 18 and, where you are acting on behalf of a business, that you have the authority to bind that business.
The Service is intended for use by businesses operating in the United Kingdom. If you use the Service from outside the United Kingdom, you do so at your own risk and are responsible for compliance with local laws.
4. Your account
You are responsible for maintaining the security of your account credentials. You must not share your login credentials with third parties or allow third parties to access your account.
You must notify us immediately at hello@complyer.law if you suspect any unauthorised access to or use of your account.
You are responsible for all activity that occurs under your account, whether or not authorised by you.
Each account is for use by a single organisation. You may not use one account for multiple separate legal entities, share your account with other organisations, or resell access to the Service without our written consent.
5. Acceptable use
You agree to use the Service only for lawful purposes and in accordance with these Terms. Without limiting the generality of this, you must not:
- Use the Service to generate documents intended to deceive, defraud, intimidate, or harm any person
- Attempt to circumvent usage limits, billing controls, security features, or access controls
- Reverse engineer, decompile, copy, or create derivative works of the Service or its underlying models
- Use automated scripts or bots to access the Service in a way that exceeds normal human usage
- Upload content that infringes third-party intellectual property rights, contains malware, or violates applicable law
- Resell, sublicense, or otherwise make the Service available to third parties for commercial gain
- Use outputs from the Service to train, fine-tune, or improve any AI model without our written consent
We reserve the right to suspend or terminate accounts that breach these rules without notice.
6. Document generation and AI outputs
When you use Complyer to generate a document, you understand and accept that:
- The output reflects general UK employment law as understood by the AI model at the time of generation and may be incomplete or contain errors
- The output may not be suitable for your specific circumstances without review and modification by a qualified professional
- Complyer cannot account for facts you have not provided or for changes in law after the document was generated
- Employment law changes frequently — a document compliant when generated may become non-compliant and require updating
- You are solely responsible for the decision to use, modify, or act upon any output from the Service
- Complyer accepts no liability for any outcome — including employment disputes, tribunal awards, regulatory penalties, or other losses — arising from your use of any generated output
Every document generated by Complyer carries a disclaimer notice. You must not remove or obscure that notice when using the document.
7. Subscription and payment
Complyer offers a free tier and paid subscription plans as described on our pricing page. Subscriptions are billed monthly or annually as selected at sign-up.
All prices shown are exclusive of VAT. VAT will be added at the applicable rate where required by law.
Payment is processed securely by Stripe. We do not store your payment card details.
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time from your account settings. We do not provide refunds for partial billing periods already paid.
We reserve the right to change subscription prices on 30 days' written notice. If you do not accept a price change, you may cancel your subscription before it takes effect and receive a pro-rated refund of any prepaid fees for the period after the change date.
If payment fails, we may suspend access to the Service and retry payment. If payment remains outstanding for more than 14 days, we may terminate your account.
8. Intellectual property
The Complyer platform, its design, source code, underlying models (as licensed), and all content we create are owned by or licensed to TN Labs Ltd and are protected by copyright, trade mark, and other intellectual property law.
Documents and other outputs you generate using the Service are yours. We do not claim ownership of outputs you create. You are free to use, edit, and distribute them subject to the restrictions in these Terms.
You retain ownership of documents and content you upload to the Service. By uploading, you grant us a limited, non-exclusive licence to process that content solely to provide the Service to you. We will not use your uploaded content for any other purpose.
We do not use your documents, uploaded content, or employee data to train, fine-tune, or improve AI models.
9. Data and privacy
Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms.
Where you enter personal data about your employees into the Service, you act as the data controller for that data and we act as your data processor. A data processing agreement (DPA) is available on request at hello@complyer.law.
All data is stored on servers in the EU (Frankfurt). UK GDPR applies to all data we process.
10. Limitation of liability
This clause sets out our entire financial responsibility to you. Please read it carefully.
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available", without warranty of any kind, whether express or implied, including any warranty of accuracy, completeness, fitness for a particular purpose, or non-infringement
- We do not warrant that the Service will be uninterrupted, error-free, or that any output will be legally accurate, current, or suitable for your circumstances
- We are not liable for any loss or damage arising from your reliance on any output generated by the Service, including in connection with any employment dispute, tribunal claim, regulatory action, or legal proceeding
- We are not liable for any indirect, consequential, special, incidental, or punitive loss or damage, including loss of profit, loss of revenue, loss of business, loss of data, or reputational damage, whether or not we were advised of the possibility of such loss
- Our total aggregate liability to you for all claims arising under or in connection with these Terms (whether in contract, tort, negligence, or otherwise) shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim
You acknowledge that: (a) the Service is provided at a price that reflects these limitations; (b) Complyer explicitly disclaims being a provider of legal advice; (c) you are a business user and have had the opportunity to obtain your own legal advice on these Terms; and (d) the liability cap represents a fair and reasonable allocation of risk between the parties in light of the nature and price of the Service.
Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any liability that cannot lawfully be excluded or limited under the laws of England and Wales.
These Terms do not affect your statutory rights as a consumer if applicable law gives you rights that cannot be excluded by contract.
11. Indemnity
You agree to indemnify, defend, and hold harmless TN Labs Ltd, its directors, employees, and agents ("Complyer Parties") from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) brought by a third party arising directly from:
- Your breach of these Terms or any applicable law
- Your negligent or wrongful use of a document generated by Complyer, including your failure to review the document before use or your failure to obtain independent legal advice where the circumstances warranted it
- Your infringement of any third-party intellectual property or privacy right in connection with your use of the Service
For the avoidance of doubt, this indemnity does not require you to indemnify the Complyer Parties for claims arising from our own negligence, wilful misconduct, or breach of these Terms.
12. Termination and suspension
You may close your account at any time from your account settings or by contacting us at hello@complyer.law. If you cancel a paid subscription, you will retain access until the end of the current billing period.
We may suspend or terminate your access to the Service immediately and without notice if: you breach these Terms; you fail to pay subscription fees; we reasonably believe your use poses a legal, security, or reputational risk to Complyer or third parties; or we are required to do so by law.
On termination, your right to use the Service ceases immediately. You should export any documents you wish to retain before closing your account. We will retain your data for 30 days after termination and then delete it, unless we are required by law to retain it for longer.
13. Changes to these Terms
We may update these Terms from time to time to reflect changes in the law, our services, or our business practices.
For material changes, we will give you at least 30 days' notice by email before the change takes effect. If you do not accept the change, you may cancel your subscription before the effective date and receive a pro-rated refund of any prepaid fees for the period after that date. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
For non-material changes (such as clarifications or corrections), we will update the "Last updated" date and the change will take effect immediately.
14. General
Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Complyer regarding the Service and supersede all prior discussions, representations, and agreements.
Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
No waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Force majeure. We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, government actions, internet outages, or third-party service failures, provided we notify you promptly and take reasonable steps to mitigate the impact.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms to a successor entity in connection with a merger, acquisition, or sale of assets.
Third-party rights. These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
15. Governing law and disputes
These Terms are governed by the laws of England and Wales.
We encourage you to contact us at hello@complyer.law to resolve any dispute informally before taking formal action. Most concerns can be resolved quickly this way.
If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts of England and Wales, and both parties submit to that jurisdiction.
